  1. Introduction and Acceptance of Terms
    These Terms and Conditions (“Terms”) govern access to and use of the MVend Limited website
    (www.mvendgroup.com), mobile applications, including the Gwiza App, APIs, platforms, and all related digital
    financial services (collectively, the “Services”). The Services are provided by MVend Limited (“MVend”, “we”, “us”, or “our”), a licensed Payment Service Provider in the Republic of Rwanda.
    By accessing, registering for, or using any MVend Service, you confirm that you have read, understood, and agreed
    to be legally bound by these Terms, together with any applicable policies, agreements, or disclosures referenced
    herein. If you do not agree to these Terms, you must not use the Services.
    These Terms constitute a binding contractual relationship between you and MVend.
  2. Related Agreements and Order of Precedence
    Your use of specific MVend Services may also be governed by additional agreements, including but not limited to the
    MVend Privacy Policy, Cookies Policy, Merchant or Agent Agreements, API Agreements, Product-specific terms, and
    any regulatory disclosures (collectively, the “Related Agreements”).
    Where there is any inconsistency between these Terms and a Related Agreement, the provisions of the applicable
    Related Agreement shall prevail solely with respect to the relevant Service.
  3. Amendments
    MVend reserves the right to amend these Terms at any time by publishing an updated version on its website or
    applications. Unless otherwise stated, amendments take effect upon publication. Where changes materially reduce
    your rights or increase your obligations, MVend will provide reasonable prior notice in accordance with applicable law
    and regulatory guidance.
    Continued use of the Services after the effective date of any amendment constitutes acceptance of the revised
    Terms.
  4. About MVend
    MVend Limited is a Payment Service Provider licensed and regulated by the National Bank of Rwanda. MVend is
    authorised to provide small e-money issuance, payment aggregation, money remittance, interoperable payments
    (including eKash via RSwitch), and digital savings facilitation services.
    MVend operates as an independent service provider and does not control, endorse, or assume responsibility for the
    goods or services paid for using its platforms.
  5. Eligibility and Age Requirements
    The Services are available only to individuals who are at least eighteen (18) years old or have reached the age of
    legal capacity under applicable law, and to duly registered and authorised businesses and organisations. By using
    the Services, you represent that you meet these eligibility requirements and have the legal authority to enter into
    these Terms.
  6. Account Registration and Verification
    To access certain Services, you must create an MVend account through the website or Gwiza App and provide
    accurate, complete, and current information. MVend may verify your information directly or through third parties,
    including national identity systems such as NIDA, financial institutions, and regulatory databases.
    MVend reserves the right to approve, decline, suspend, or restrict any account where required by law, regulation, risk
    assessment, or internal compliance policies.
  7. Know Your Customer (KYC) and Compliance
    You agree to comply with all applicable anti-money laundering, counter-terrorism financing, and sanctions laws.
    Where you are a merchant, agent, or organisation, you remain responsible for conducting appropriate KYC on your
    customers, ensuring transaction legitimacy, and retaining proof of service or product delivery.
    MVend may request additional information or documentation at any time to meet regulatory or compliance
    obligations.
  8. Use of Services
    The Services may be subject to transaction limits, geographic restrictions, system availability, and regulatory
    constraints. MVend may impose or modify such limitations at its discretion in compliance with applicable law.
    MVend does not guarantee uninterrupted or error-free access to the Services and shall not be liable for service
    disruptions caused by system maintenance, third-party failures, force majeure events, or regulatory actions.
  9. Fees and Charges
    Fees applicable to MVend Services will be disclosed prior to the completion of a transaction or governed by a
    separate agreement. You acknowledge that third-party fees, including bank, card issuer, or network charges, may
    apply independently of MVend.
  10. Failed Transactions, Refunds, and Reversals
    Where a transaction fails or is not completed, MVend will process a refund or reversal in accordance with applicable
    regulations and internal procedures. Refunds are generally made through the original payment channel, subject to
    system and regulatory constraints.

    MVend does not guarantee immediate reversals and shall not be liable for delays caused by third-party systems.
  11. Disputes and Chargebacks
    You must notify MVend promptly upon becoming aware of any unauthorised or disputed transaction. Claims relating
    to transactions must be raised within the timeframe prescribed by law or network rules, failing which they may be
    deemed waived.
    MVend acts solely as a payment intermediary and bears no responsibility for disputes relating to the quality, delivery,
    or legality of goods or services paid for using the Services.
  12. Account Security
    You are responsible for maintaining the confidentiality of your login credentials, PINs, passwords, and devices.
    MVend shall not be liable for losses arising from your failure to safeguard account access information or from
    unauthorised use resulting from your negligence.
  13. Data Protection and Privacy
    MVend processes personal data in accordance with applicable data protection laws of Rwanda and relevant
    international standards. By using the Services, you consent to the collection, use, storage, and processing of
    personal data as described in the MVend Privacy Policy.
    Where you provide customer data to MVend, you confirm that you have obtained all necessary consents and
    authorisations.
  14. Intellectual Property
    All content, software, trademarks, logos, systems, and materials associated with MVend and the Services are the
    exclusive property of MVend or its licensors. You are granted a limited, revocable, non-transferable license to use the
    Services solely for their intended purpose.
    You may not copy, modify, reverse engineer, distribute, or exploit any MVend intellectual property without prior written
    consent.
  15. Prohibited and Restricted Activities
    You must not use the Services for unlawful, fraudulent, deceptive, or abusive purposes, nor in violation of any
    applicable law, regulation, or network rule. MVend may suspend or terminate access where it reasonably suspects
    prohibited activity or regulatory non-compliance.
  16. Suspension and Termination

    MVend may suspend or terminate your access to the Services at any time where required by law, regulatory
    directive, security concerns, or breach of these Terms. You may terminate your relationship with MVend by closing
    your account, subject to settlement of outstanding obligations.
  17. Disclaimers
    The Services are provided on an “as is” and “as available” basis. MVend makes no warranties, express or implied,
    regarding merchantability, fitness for a particular purpose, or uninterrupted availability of the Services.
  18. Limitation of Liability
    To the maximum extent permitted by law, MVend shall not be liable for indirect, incidental, consequential, or punitive
    damages, including loss of profits, data, or goodwill. MVend’s aggregate liability, where applicable, shall not exceed
    the value of the affected transaction or such limit as prescribed by law.
  19. Indemnity
    You agree to indemnify and hold MVend harmless from any claims, losses, liabilities, or expenses arising from your
    breach of these Terms, misuse of the Services, or violation of applicable laws.
  20. Governing Law and Jurisdiction
    These Terms are governed by the laws of the Republic of Rwanda. Any dispute arising out of or in connection with
    these Terms shall be subject to the exclusive jurisdiction of the competent courts of Rwanda, unless otherwise
    required by law.
  21. Severability
    If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force
    and effect.
